Welcome to A$AP Pay. By accessing or using the A$AP Pay application (“App”), you agree to comply with and be bound by the following terms and conditions (“Terms”). Please read these Terms carefully, as they contain important information about your legal rights, remedies, and obligations.

If you do not agree to these Terms, please do not use the App.

1. Acceptance of Terms
   By downloading, accessing, or using A$AP Pay, you agree to be bound by these Terms, including any additional terms and policies that we may reference or make available via hyperlinks. These Terms apply to all users of the App.
   
   
2. Eligibility
   You must be at least 18 years old to use A$AP Pay. By using the App, you represent and warrant that you meet this age requirement. You are responsible for complying with any laws, rules, and regulations applicable to your use of A$AP Pay, including those concerning cryptocurrency transactions.
   
   
3. Non-Custodial Wallet Services
   A$AP Pay is a non-custodial wallet. This means that:

   – You are solely responsible for the custody, management, and control of your private keys, seed phrases, and cryptocurrency assets.

   – A$AP Pay does not store, access, or have control over your private keys or funds. You acknowledge that the loss of your private keys or seed phrase will result in the permanent loss of your cryptocurrency, and A$AP Pay cannot recover or assist with lost keys or funds.

4. User Responsibilities
   As a user of A$AP Pay, you agree to the following responsibilities:

   – You will secure your private keys, seed phrases, and passwords associated with your cryptocurrency wallet.

   – You understand the inherent risks associated with cryptocurrency transactions, including volatility, potential loss, and transaction errors.

   – You agree that you will not engage in any illegal activities, including money laundering, terrorist financing, or other illicit activities, while using A$AP Pay.

   – You are responsible for ensuring that any transaction information you enter is accurate. A$AP Pay is not liable for incorrect transactions, including sending funds to incorrect addresses.

5. Prohibited Activities
   You agree not to engage in any of the following prohibited activities:

   – Accessing or using the App for any unlawful purpose or in violation of any laws, regulations, or contractual obligations.

   – Using the App in a way that could harm, overburden, or disrupt the operation of the App or its services.

   – Attempting to gain unauthorized access to the App’s systems, data, or any accounts associated with A$AP Pay.

   – Impersonating any person or entity, or falsely claiming an affiliation with any person or entity.

6. Intellectual Property Rights
   The content, design, and all materials associated with A$AP Pay, including logos, graphics, text, and software, are the property of A$AP Pay and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, and non-transferable license to use the App for its intended purpose in accordance with these Terms. You may not copy, modify, distribute, or create derivative works from any part of the App without express written permission from A$AP Pay.
   
   
7. Disclaimers

   – No Custodial Responsibility: As a non-custodial wallet, A$AP Pay has no control over or responsibility for any cryptocurrency or blockchain-related transactions initiated via the App. You acknowledge that A$AP Pay does not store or manage your cryptocurrency.

   – No Financial or Investment Advice: A$AP Pay does not provide financial, legal, or tax advice. You are solely responsible for conducting your own due diligence before engaging in any cryptocurrency transactions.

   – No Warranties: The App is provided “as is” and “as available” without warranties of any kind, either express or implied. We make no representations or warranties about the accuracy, reliability, completeness, or timeliness of the App’s content, services, or availability.

8. Limitation of Liability
   To the fullest extent permitted by law, A$AP Pay, its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of cryptocurrency, or loss of profit arising out of or related to your use of the App.
   In no event will A$AP Pay’s aggregate liability to you exceed the amount you paid, if any, for using the App.
   
   
9. Indemnification
   You agree to indemnify, defend, and hold harmless A$AP Pay and its officers, directors, employees, and affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from:

   – Your use of the App;
   – Any breach of these Terms by you;
   – Any violation of applicable law by you in connection with your use of the App.

10. Third-Party Links and Services
    A$AP Pay may contain links to third-party websites or services. These links are provided for convenience, and we are not responsible for the content, functionality, or privacy practices of these third-party sites. Your interactions with third-party websites and services are governed by their respective terms and conditions and privacy policies.
    
    
11. Termination
    We reserve the right to suspend or terminate your access to the App at our sole discretion, with or without notice, for any reason, including but not limited to your breach of these Terms.

    Upon termination, you must cease using the App, and any rights granted to you under these Terms will immediately be revoked.

12. Changes to the Terms
    We reserve the right to update or modify these Terms at any time. When we make changes, we will update the “Effective Date” at the top of these Terms. It is your responsibility to review these Terms periodically. Your continued use of the App after any changes to the Terms constitutes your acceptance of those changes. 
    
    
13. Governing Law
    These Terms and your use of the App shall be governed by and construed in accordance with the laws of the United States of America, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located within Wake County, North Carolina for the resolution of any disputes arising from these Terms or your use of the App.
    
14. Severability
    If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable to the fullest extent permitted by law.
    
    
15. Entire Agreement
    These Terms constitute the entire agreement between you and A$AP Pay with respect to the use of the App and supersede any prior or contemporaneous understandings or agreements, whether written or oral.
